Referral Programme Terms

Relationship to Terms of Service

These Referral Programme Terms supplement and form part of the ewpire Terms of Service available at ewpire.com/terms. In the event of conflict between these terms and the Terms of Service regarding the Referral Programme, these Referral Programme Terms shall prevail.

1. Overview

The ewpire Referral Programme ("Programme") allows eligible participants ("Referrers") to earn a commission by referring new paying customers ("Referred Customers") to ewpire, operated by LeMans Labs OÜ ("ewpire", "we", "us").

By joining the Programme, you agree to these terms in full.

2. Eligibility

  • You must be 18 years of age or older.
  • You must complete Stripe Connect identity verification.
  • Stripe Connect onboarding enforces applicable sanctions screening. ewpire may additionally restrict participation from specific jurisdictions at its discretion.
  • Employees and contractors of LeMans Labs OÜ are not eligible.
  • Self-referral (referring yourself or entities you control) is strictly prohibited and will result in permanent disqualification and forfeiture of any pending commissions.
  • You represent and warrant that you are participating in the Programme in a professional or business capacity (as a content creator, publisher, marketer, or similar) and not as a consumer within the meaning of Directive 2011/83/EU Art. 2(1). You acknowledge that consumer-specific protections, including the 14-day withdrawal right under distance-contract rules, do not apply to this Programme agreement.

3. How it works

When you join, you receive a unique referral link. When someone clicks your link and subsequently becomes a paying ewpire customer, you earn a commission on their first month of service.

Attribution is tracked via a URL-based referral code with a 90-day window. When a prospective customer visits ewpire.com through your referral link, the referral code is stored server-side. If a prospective customer uses multiple referral links, the most recent referral code wins.

4. Commission structure and Stripe fees

  • Commission rate: 20% of the Referred Customer's first subscription payment (monthly or annual).
  • Monthly: Starter ($199/mo): $39.80 · Pro ($499/mo): $99.80 · Business ($1,499/mo): $299.80
  • Annual: Starter ($1,990/yr): $398.00 · Pro ($4,990/yr): $998.00 · Business ($14,990/yr): $2,998.00
  • Commission is earned on the first payment only. No recurring commissions.
  • Minimum payout threshold: $50 USD. Unpaid balances below $50 carry over to next payout.
  • Commissions are denominated in USD. For customers billed in EUR or GBP, the USD equivalent at time of charge is used (Stripe's published exchange rate at the moment of the Referred Customer's successful charge). No subsequent FX adjustment applies between charge and payout.

Stripe fees and net payout. ewpire transfers the gross commission (20% of the first-month charge) to your Stripe Connect Express account. Any fees deducted by Stripe between your Connect balance and your bank account are borne entirely by you and are not reimbursed by ewpire. These may include:

  • Currency conversion fee (approximately 1%) plus Stripe's FX spread, if your bank account currency differs from USD;
  • Cross-border payout fee (0.25–1%) for payouts to certain non-US / non-EU / non-UK jurisdictions;
  • Instant payout fee (approximately 1.5%), if you opt into instant payouts instead of the default free standard payouts;
  • Any other Stripe fees as published at stripe.com/connect/pricing at the time of your payout.

Standard payouts to US, UK, and EU bank accounts incur no additional Stripe fees in most cases. Your Stripe Connect Express dashboard shows the exact deduction applied to each payout.

5. Payout timing and schedule

5.1 Monthly subscriptions (one-time commission).For Referred Customers on a monthly billing plan, the full 20% commission (of the first-month charge) becomes eligible for payout 30 days after the Referred Customer's first successful charge. This 30-day window covers our 14-day money-back guarantee plus a chargeback buffer. One payout, one commission, first month only.

5.2 Annual subscriptions (recurring monthly commission).For Referred Customers on an annual billing plan, the 20% commission is paid as twelve equal monthly instalmentsover the duration of the customer's active annual subscription, tied to each month the customer remains subscribed. This aligns your payouts with ewpire's monthly revenue recognition and removes the clawback risk associated with lump-sum payment of annual commissions.

  • Total commission: 20% of the annual payment (equivalent to 20% of 12 monthly-rate payments).
  • Payout schedule: total_commission ÷ 12 per month, starting 30 days after the Referred Customer's annual charge.
  • Example: Pro Annual $4,990 → total commission $998 → ~$83.17/month for 12 months, starting day 30.
  • If the Referred Customer cancels their annual subscription part-way through the term, all future scheduled payouts are cancelled; past payouts are retained without claw-back.
  • If the Referred Customer completes the full annual term, you have received the full $998 over 12 months.

All eligible payouts are processed automatically via Stripe Connect transfers on a nightly basis. Payouts require your Stripe account to be in good standing with transfers enabled.

6. Refunds and claw-backs

6.1 Full refund within 14-day money-back window (monthly and annual).If a Referred Customer receives a full refund within 14 days of their first payment (under the ewpire 14-day money-back guarantee, §4.12 of the Terms of Service), your commission for that referral is voided in full. For monthly plans, no payout occurs. For annual plans, all scheduled monthly instalments are cancelled, and any instalment already paid is clawed back from future commissions.

6.2 Annual-subscription cancellation after the 14-day window.If a Referred Customer cancels an annual subscription after the 14-day money-back window (triggering the earned-discount refund in §4.14 of the Terms of Service): (a) past monthly commission instalments you have received are retained in full – no claw-back; (b) all futurescheduled monthly instalments are cancelled immediately. This means your commission stream stops when the customer's subscription stops, with no negative balance created for you.

6.3 Monthly-plan refunds after day 14.Refunds issued after the 14-day window on monthly plans do not affect your commission – the first-month commission was earned on the charge date and stays with you.

6.4 Chargebacks and disputes.In the event of a chargeback, payment dispute, or partial refund on a Referred Customer's charge, we reserve the right to void or proportionally reduce the associated commission. Claw-back recovery from future commissions is limited to one hundred and eighty (180) days from the original commission date. Beyond 180 days, unclaimed claw-backs are written off and not enforceable.

7. Taxes

You receive gross commission. You are solely responsible for determining, declaring, and paying all applicable taxes on your commissions in your jurisdiction.

Stripe may require you to complete tax documentation (such as W-9 for US persons or W-8BEN for non-US persons) as part of Stripe Connect onboarding. ewpire does not collect or process these tax forms directly.

LeMans Labs OÜ does not provide tax advice and bears no responsibility for your tax obligations.

For VAT purposes, the place of supply of your promotional services is your country of establishment (VAT Directive 2006/112/EC Art. 44 for B2B; Art. 45 for B2C). If you are a VAT-registered business in the EU, you are responsible for issuing a reverse-charge invoice to LeMans Labs OÜ and self-accounting VAT in your member state. If you are outside the EU or are a non-VAT-registered individual, no Estonian VAT applies to commission payments.

8. Right to audit

ewpire reserves the right to audit referral activity and withhold commissions pending investigation of suspected Programme abuse. Investigations will be concluded within thirty (30) days, and withheld commissions will be released or forfeited based on findings. Referrer agrees to cooperate; failure to respond within 14 days is grounds for forfeiture.

9. Prohibited conduct

  • Spam, unsolicited email, or any communication that violates applicable law.
  • Misrepresenting ewpire or making false claims about the product or commissions.
  • Cookie stuffing, ad injections, or any technical means to artificially generate clicks.
  • Self-referral or referral of entities under your control.
  • Any fraudulent or deceptive practice.
  • Using paid advertising that bids on ewpire brand terms (such as "ewpire" or "ewpire.com") without prior written approval.
  • Promoting your referral link on content that is adult, gambling, political, hate-speech, or otherwise illegal in the jurisdiction where the content is published.

Violation of prohibited conduct results in immediate termination and forfeiture of all pending commissions.

10. Anti-spam responsibility

You are solely responsible for compliance with all applicable anti-spam and electronic messaging laws (including CAN-SPAM, CASL, GDPR, and equivalent local laws) when promoting your referral link. Sending unsolicited bulk email using your referral link is prohibited and may result in immediate termination.

10b. Mandatory advertising disclosure

You must clearly and conspicuously disclose your material connection to ewpire in every public communication that promotes your referral link. Acceptable labels include "#ad", "#affiliate", "paid partnership", or a platform-native disclosure tool (e.g., Instagram "Paid partnership", TikTok "Sponsored"). The label must appear at the start of the post or caption – not buried in hashtags, footnotes, or expandable text – and must persist for at least 12 months after the referral relationship ends whenever you reference ewpire.

You are solely responsible for compliance with the FTC Endorsement Guides (16 CFR Part 255), the EU Unfair Commercial Practices Directive (2005/29/EC) as implemented locally, the UK CAP Code (r. 2.1, 2.4), and the Digital Services Act (Reg. (EU) 2022/2065). Failure to disclose is grounds for immediate termination and forfeiture of pending commissions.

11. Trademark licence

ewpire grants you a limited, non-exclusive, revocable licence to use the ewpire name and logo solely for the purpose of promoting your referral link. You may not modify the ewpire logo, use it in a misleading context, or imply endorsement or partnership beyond your referral relationship. ewpire reserves the right to review promotional materials on request.

12. Independent contractor

You are an independent contractor. Nothing in these terms creates an employment, agency, partnership, or joint venture relationship between you and LeMans Labs OÜ. You are not authorised to make commitments or representations on behalf of ewpire.

13. Programme modifications and termination

ewpire reserves the right to modify, suspend, or terminate the Programme at any time with 30 days' notice to active Referrers. Material changes will be notified by email in accordance with GDPR transparency requirements. Commissions earned before termination will be honoured subject to these terms.

Upon programme termination, the minimum payout threshold is waived and all earned commissions will be paid out within sixty (60) days.

ewpire may terminate an individual Referrer's participation at any time for cause (violation of these terms) with immediate effect, or without cause with thirty (30) days' notice. Earned commissions not subject to forfeiture under these terms will be paid out.

14. Indemnification

You agree to indemnify and hold harmless LeMans Labs OÜ from any claims, damages, or expenses arising from your promotional activities, including but not limited to claims of spam, misleading advertising, or intellectual property infringement. This indemnification applies only to the extent you are participating in the Programme in a business or professional capacity as warranted under Section 2.

15. Limitation of liability

ewpire's total liability to you under these terms shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.

Nothing in these terms excludes or limits either party's liability for intent, gross negligence, death, personal injury, or any other liability which cannot be lawfully excluded (Võlaõigusseadus § 106 lg 2).

16. Governing law

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Tallinn, Estonia. Nothing in this clause limits the rights of consumers under mandatory provisions of the law of their country of habitual residence.

18. Data protection

LeMans Labs OÜ (Valukoja 8/1, 11415 Tallinn, Estonia) is the data controller for your Programme account data (name, email, referral activity). Stripe Payments Europe Ltd is a separate independent controller for your identity verification, bank, and payout data, governed by Stripe's own privacy policy. Legal basis for processing your account data is the performance of this contract (GDPR Art. 6(1)(b)) and our legitimate interest in programme operation and fraud prevention (Art. 6(1)(f)). We retain your account data for the duration of your participation plus 7 years thereafter as required by Estonian bookkeeping law (Raamatupidamise seadus § 12).

You have rights of access, rectification, erasure (subject to retention requirements), restriction, portability, and objection under GDPR Art. 15–22. Requests: [email protected]. Supervisory authority: Estonian Data Protection Inspectorate (AKI), [email protected].

19. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including payment-rail outages, sanctions escalation, regulatory orders, natural disasters, or any other event that could not reasonably have been anticipated or prevented.

20. Severability

If any provision of these terms is held unenforceable or invalid in any jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. The remainder of these terms shall remain in full force and effect.

21. No third-party beneficiaries

These terms do not create rights enforceable by any person other than you and LeMans Labs OÜ. Referred Customers are not third-party beneficiaries of this agreement and have no rights under it.

22. Set-off

LeMans Labs OÜ may set off any amounts owed by you (including claw-backs or damages arising from breach of these terms) against any commission payable to you, without prejudice to any other rights or remedies available.

23. Sanctions

You represent that you are not listed on, and are not owned or controlled by any person listed on, any applicable sanctions list (including the OFAC Specially Designated Nationals list, EU Consolidated List, UK OFSI Consolidated List, or UN Security Council Consolidated List), and that you are not ordinarily resident in a jurisdiction subject to comprehensive sanctions. Any breach of this representation terminates these terms immediately and forfeits all pending commissions.

24. Entire agreement

These terms, together with the ewpire Terms of Service, constitute the entire agreement between you and LeMans Labs OÜ with respect to the Referral Programme and supersede all prior communications, understandings, or agreements on the subject matter. No oral modification of these terms is binding.
