Terms of Service
1. Definitions
In these Terms of Service ("Terms"), the following capitalised terms have the meanings set out below:

"ewpire", "we", "us", or "our" – LeMans Labs OÜ, a private limited company registered in the Republic of Estonia (registry code 16872044), with its registered address at Valukoja 8/1, 11415 Tallinn, Estonia, operating the ewpire platform at ewpire.com.

"Service" – the ewpire full-cycle founder platform, including the website at ewpire.com, the web application, the three Products (Ideation, Validation, and Traffic), the Credit system, free tools, blog content, and any related features, integrations, or communications.

"User", "you", or "your" – any individual or legal entity that accesses or uses the Service, including subscribers, account holders, website visitors, and users of free tools.

"Products" – the three products delivered through the Service on a shared engine that routes each task to leading commercially-available LLMs and applies consensus verification, namely:
- "Ideation" – a Product in which a consensus of leading commercially-available large language models analyses a startup idea (including niche, competitors, demand, and market sizing such as TAM/SAM/SOM) through a propose → critique → synthesise process and returns one structured report together with a confidence indicator and a dissent map, plus an optional follow-up chat. Any market-sizing figures (including TAM/SAM/SOM) are unverified AI-generated estimates, not a substantiated measurement or audited market study.
- "Validation" – a Product that turns a saved idea into a working minimum viable product (MVP) using a white-label open-source software builder (OpenHands) combined with ewpire's model routing and consensus-as-QA, building in a sandboxed runtime, providing a live preview, and enabling deployment to Cloudflare.
- "Traffic" – a Product that generates AI-readable presence (Answer Engine Optimisation / Generative Engine Optimisation, "AEO/GEO") and runs a consensus brand-truth audit examining how AI assistants describe the User's brand, returning a dissent map and confidence indicator for the brand.

"Credit" – the unit of account used to access the Products. Each chargeable action within a Product consumes a defined number of Credits, as published at ewpire.com/pricing. Credits have no cash value, are not a deposit, and are not redeemable for money except as expressly provided in these Terms or the Refund Policy.

"Subscription" – a recurring paid plan that grants a monthly allotment of Subscription Credits and access to the Products, billed on a monthly or annual basis via Stripe.

"Subscription Plan" – one of the available tiers, as published at ewpire.com/pricing: Starter (USD 30 per month, 300 Subscription Credits per month), Pro (USD 60 per month, 600 Subscription Credits per month), or Business (USD 150 per month, 1,500 Subscription Credits per month), or any successor plans. Annual billing is offered at a discount equivalent to two (2) months free relative to monthly billing. Prices are quoted on a USD economic base and are exclusive of VAT; the currency charged at checkout is determined by Stripe based on the User's location and payment method (Section 4.2).

"Subscription Credits" – the monthly allotment of Credits granted under a Subscription. Subscription Credits are use-it-or-lose-it: they are refreshed at the start of each billing month and any unused Subscription Credits expire at the end of that monthly cycle and do not roll over, as described in Section 4.10.

"Credit Pack" or "Pack" – a one-time, non-recurring purchase of Credits, as published at ewpire.com/pricing (for example, USD 30 for 250 Credits, USD 90 for 750 Credits, USD 240 for 2,000 Credits, plus applicable VAT). Pack Credits are valid for ninety (90) days from the date of purchase, as described in Section 4.10. Credit Packs are offered as a top-up to active Subscribers only and are not available as a standalone purchase without an active Subscription.

"Consensus Output" or "Output" – any report, analysis, estimate, dissent map, confidence indicator, generated content, generated code, build artefact, audit, or other result produced through the Service for the User's account.

"Sandboxed Runtime" – the isolated build and execution environment provided by ewpire's sub-processor (Daytona) in which Validation builds and previews run.

"User Site" – an MVP, site, or application generated through Validation and, where the User elects, deployed to Cloudflare hosting infrastructure.

"Referral Programme" – the programme through which eligible persons may refer new Users and earn a commission, as described in Section 17 of these Terms and in full in the Referral Programme Terms at ewpire.com/referral-terms.

"Account Data" or "Client Data" – any data, content, files, or information you provide to or generate through the Service, including idea text, interview answers, brand and site content, generated MVP code, project files, and account configurations.
2. Acceptance of Terms
By accessing the website, creating an account, subscribing to a plan, purchasing Credits, using any Product, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are acting on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must immediately cease all use of the Service.
2.1 B2B scope. The Service is offered primarily to founders, businesses, legal entities, and individuals acting in their professional capacity. Consumer provisions apply only where mandatory law extends them. By accepting these Terms, the User warrants that it enters into this agreement in such a professional capacity and that, as between the User and ewpire, the withdrawal rights under Directive 2011/83/EU and equivalent distance-contract rules do not apply save where mandatory local law provides otherwise. Where mandatory consumer law does apply, Section 4.12 (Immediate Performance and Waiver of Withdrawal) governs the immediate-supply waiver. Whether a User is a consumer is determined objectively under applicable law, not by this Section or by the User's warranty; where a User in fact qualifies as a consumer, mandatory consumer-protection rules prevail over any conflicting term in these Terms, including this Section.
3. Account and Access
3.1 Account-Based Access. You access and manage the Service, your Credit balance, your projects, and the three Products through a single ewpire account at ewpire.com. One account carries one Credit balance and one project workspace across all three Products; the output of one Product may serve as the input to the next.
3.2 Authentication. Authentication is by email-based one-time code (OTP). You are responsible for maintaining control of the email address associated with your account.
3.3 Account Recovery. If you lose access to your account, you may recover access via the standard sign-in flow, which sends a one-time code to the email address associated with your account.
3.4 Eligibility and Age. The Service is intended solely for users who are at least 18 years of age and who use it in a business or professional capacity. You must be at least 18 years of age and have the legal capacity to enter into binding agreements. The Service is not directed at, or intended for, children, and ewpire does not knowingly collect personal data from children; the consent rules for a child's personal data under Article 8 GDPR are not engaged by the Service. If we learn that an account has been created by a person under 18, we may suspend or terminate it. You are solely responsible for all activity conducted through your account.
3.5 Security. You are responsible for maintaining the security of the email address and devices used to access your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
4. Credits, Subscriptions, and Billing
4.1 Credit-Based Pricing. Access to the Products is metered in Credits. Each chargeable action consumes a defined number of Credits, as published at ewpire.com/pricing (for example, an Ideation report, a Traffic generation, a Traffic brand audit, and Validation build activity each consume a published number of Credits). ewpire sells its own model inference and infrastructure capacity with a margin; bring-your-own-key ("BYOK") routing is not offered at v3 launch. Credit costs per action may be adjusted prospectively with notice under Section 4.7.
4.2 Pricing and Currency. All prices displayed on ewpire.com are exclusive of Value Added Tax (VAT) unless stated otherwise. The economic base of all pricing is the United States Dollar (USD). The currency you are charged at checkout is determined by Stripe based on your billing location and payment method; ewpire is settled by Stripe in USD. Subscription Plans: Starter USD 30 per month (300 Subscription Credits), Pro USD 60 per month (600 Subscription Credits), Business USD 150 per month (1,500 Subscription Credits). Annual billing is offered at a discount equivalent to two (2) months free. Credit Packs are sold at the prices published at ewpire.com/pricing.
4.3 VAT and Taxes. VAT is calculated and applied automatically at checkout by Stripe Tax in accordance with applicable tax laws, including the Estonian One-Stop-Shop (OSS) VAT scheme for EU customers (tax category: Electronically Supplied Services). Stripe Tax computes the applicable VAT; ewpire (LeMans Labs OÜ), not Stripe Tax, remains the taxable supplier responsible for filing and remitting VAT, including under the Estonian OSS return. EU business customers with a valid VAT identification number may qualify for the reverse charge mechanism (0% VAT). You are responsible for providing accurate tax information and for payment of all applicable taxes, duties, and levies.
4.4 Payment Processing. All payments are processed by Stripe Payments Europe Limited and/or other Stripe entities as applicable. By subscribing or purchasing Credits, you agree to Stripe's applicable terms of service and privacy policy. ewpire does not store your payment card details on its own servers.
4.5 Auto-Renewal of Subscriptions. Subscriptions renew automatically on a monthly or annual basis, depending on the billing interval selected at checkout. On each renewal date, your payment method on file will be charged the applicable subscription fee plus any VAT, and your monthly allotment of Subscription Credits is refreshed. You authorise this recurring charge by subscribing. Credit Packs are one-time purchases and do not renew.
4.6 Cancellation. You may cancel your Subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. You retain access to the Service and to any Subscription Credits remaining in the then-current cycle until the end of the paid period. No refunds are issued for partial months of service except as provided in the Refund Policy. Credit Packs purchased are not cancelled by Subscription cancellation and remain valid for their ninety (90) day validity period.
4.7 Pricing and Credit-Cost Changes. We may adjust subscription pricing, Pack pricing, or the Credit cost of an action with at least 30 days' prior notice before the start of your next billing cycle (for Subscriptions) or before the change takes effect (for Packs and per-action costs). A change does not apply retroactively to Credits already purchased: Credit Packs already bought retain the Credit count and per-action Credit costs in effect at the time of purchase for their validity period. Where you are a consumer, a material adverse change does not bind you unless you affirmatively accept it; if you do not accept, you may cancel before the change takes effect and it will not apply to you. For non-consumer Users, continued use after the new pricing takes effect constitutes acceptance.
4.8 Failed Payments. If a payment fails, we may suspend your access to the Service until the outstanding amount is settled. Stripe will attempt to retry failed charges according to its retry schedule. We will make reasonable efforts to notify you via email before suspension.
4.9 No Cash Value. Credits are a prepaid access mechanism, not a stored-value instrument, electronic money, or deposit. Credits have no cash value, are non-transferable between accounts, and are not redeemable for money except where a refund is granted under the Refund Policy or where required by mandatory law.
4.10 Credit Expiry. (a) Subscription Credits are granted at the start of each monthly billing cycle and expire at the end of that cycle on a use-it-or-lose-it basis. Unused Subscription Credits do not roll over to the next cycle and are not refundable. Annual subscribers receive a monthly allotment refreshed each month over the annual term on the same monthly-expiry basis (the discount is in the price, not in carry-over). (b) Pack Credits are valid for ninety (90) days from the date of purchase and expire at the end of that period if unused. (c) Where an account holds both Subscription Credits and Pack Credits, Credits are consumed in the order published at ewpire.com/pricing (by default, soonest-to-expire first) so as to minimise forfeiture. (d) Mandatory-consumer-law carve-out. Where the mandatory consumer-protection law applicable to a User would render monthly use-it-or-lose-it expiry of Subscription Credits unfair, void, or non-binding, that expiry does not apply to that User and ewpire honours the longer validity period that mandatory law requires.
4.11 Refunds. Refunds are governed by the ewpire Refund Policy at ewpire.com/refund, which forms part of these Terms and is incorporated by reference. In summary, and subject to that policy: Credits consumed to produce a delivered Consensus Output or build are non-refundable because the digital service has been performed; a technical-failure remedy applies where a failure attributable to ewpire prevents delivery of a paid action; and any mandatory statutory refund rights are preserved. In the event of conflict, the Refund Policy governs refund mechanics and these Terms govern the underlying contract.
4.12 Immediate Performance and Waiver of Withdrawal (EU/UK). The Products deliver digital content and digital services (a consensus report, a build, a brand audit, or Credits applied to such actions) that are supplied immediately. For customers established in the European Union or the United Kingdom, the statutory fourteen (14) day right of withdrawal that would otherwise apply to distance contracts for digital content and services under Article 9 of Directive 2011/83/EU is excluded only where the three cumulative conditions of Article 16(m), read with Article 8(7), of Directive 2011/83/EU are met: (a) Prior express consent. At the point of paid purchase, the customer must actively confirm, through the checkout acceptance step (which is not pre-ticked and is presented together with acceptance of these Terms), the following: "I request that ewpire begin providing the service to me immediately, and I acknowledge that I will lose my 14-day right of withdrawal under Article 16(m) of Directive 2011/83/EU (as transposed into Estonia by § 53(4) clause 13 of the Law of Obligations Act / Võlaõigusseadus), and Regulation 37(1)(a) of the UK Consumer Contracts Regulations 2013, once the digital service has been supplied." Pre-ticked boxes are not used, consistent with Case C-673/17 (Planet49) and Article 7(2) GDPR. (b) Acknowledgment that the right of withdrawal is lost once performance has begun and the digital service has been fully supplied, captured in the same checkbox text. (c) Durable-medium confirmation (Art. 8(7)). ewpire sends the customer a confirmation on a durable medium – a confirmation email recording the prior consent and the acknowledgment in (a) and (b) – after the relevant purchase or chargeable action. Absent this durable-medium confirmation, the waiver is not effective and the statutory withdrawal right is preserved.
The exact disclosure text, together with the timestamp, IP address, user agent, and version hash, is recorded in an immutable consent log for no less than three (3) years as evidence of informed consent under Article 7(1) GDPR.
Online withdrawal. For the fourteen (14) day withdrawal period, and to the extent it applies (i.e. to an unconsumed Credit Pack, before the waiver in this Section takes effect), ewpire provides an easily accessible in-account withdrawal control allowing the customer to declare withdrawal by electronic means; on submission, ewpire confirms receipt of the withdrawal declaration to the customer promptly on a durable medium.
This waiver and the withdrawal control do not displace the voluntary commercial remedies in the Refund Policy, which apply independently.
5. Nature of the Products and Outputs
5.1 Structured Deliberation, Not Advice. The Outputs of Ideation and Traffic, and any market sizing, scoring, competitor analysis, or recommendation produced through the Service, are structured deliberation and estimates generated by AI, and are not professional advice of any kind (including legal, financial, investment, tax, medical, or regulatory advice). The confidence indicator and dissent map presented with each Output are an integral part of the Output and serve as an express statement of uncertainty: a high dissent or low confidence signals that the Output should be treated with corresponding caution. You are solely responsible for evaluating, verifying, and deciding whether and how to act on any Output, and for obtaining independent professional advice where appropriate.
5.2 Traffic – Probability, Not Guarantee. Traffic is designed to increase the probability that AI assistants describe the User's brand accurately and consistently, and to surface where they do not. ewpire does not guarantee visibility, citation, ranking, placement, traffic volume, or any particular description of the User's brand by any third-party AI assistant or search system, all of which are operated by third parties and are inherently volatile. No statement in the Service constitutes a guarantee of "visibility", "citations", or any specific commercial result.
5.3 No Guaranteed Results. The Products are tools designed to assist founders. ewpire makes no representations or warranties regarding: (a) the commercial success, fundability, or viability of any idea analysed; (b) the accuracy, completeness, or quality of any AI-generated Output, report, estimate, code, or audit; (c) any specific return on investment or business outcome; or (d) uninterrupted or error-free operation. Results depend on numerous factors outside our control, including the quality of the information you provide, market conditions, your industry, and the behaviour of third-party AI providers and platforms.
5.4 AI Limitations. AI systems may produce content that is inaccurate, incomplete, outdated, or inappropriate ("hallucination"). This is an inherent characteristic of current AI technology. You are responsible for reviewing, verifying, and approving all Outputs before relying on, distributing, or deploying them.
5.5 Validation Builds and Generated Code. MVPs, code, and User Sites generated through Validation are produced automatically and may contain errors, security vulnerabilities, licensing issues, or non-compliant content. ewpire's consensus-as-QA is a quality aid, not a warranty of correctness, security, or fitness. ewpire makes reasonable efforts to surface known third-party open-source components incorporated into a build and their applicable licences (for example, in a dependency or licence manifest), but does not warrant that such disclosure is complete or that every component or licence obligation has been identified. Before deploying or operating any User Site, you are responsible for reviewing the generated code, conducting your own security and legal review, and ensuring compliance with applicable law and any third-party licences incorporated. You are solely responsible for any User Site you deploy, including its content, data handling, third-party-licence compliance, and lawful operation.
5.6 Service Availability. The Service is provided on a commercially reasonable efforts basis. ewpire does not offer a formal Service Level Agreement (SLA) or uptime guarantee, except where a separate written enterprise agreement (for example, an Empire plan) expressly provides one. We strive to maintain high availability but do not guarantee uninterrupted access, and availability targets, where stated, are internal operational targets that do not create a contractual entitlement to credits.
5.6a Plan-tier benefits. Certain plan tiers include benefits such as build-queue priority at times of high demand and early access to selected new or beta features. These benefits are provided on a best-effort basis and are not guaranteed service levels: priority affects the order in which work is admitted when capacity is constrained and does not guarantee any particular wait time, throughput, or completion time; and early-access or beta features are made available as-is, may be incomplete, and may be changed, limited, withdrawn, or moved to general availability at any time. The published feature set for each tier is the one at ewpire.com/pricing and may evolve; material adverse changes are handled under Section 4.7 and, for consumers, Section 14.
5.7 Evolving Technology. AI capabilities, model rosters, and routing change over time as underlying models are updated, added, or retired. ewpire will make commercially reasonable efforts to maintain or improve quality, but specific behaviour may vary between model versions and providers.
5.8 High-Harm Use. ewpire serves founders across all verticals (including health, fintech, and legaltech). The Service delivers structured deliberation, not advice, with disclaimers where appropriate. ewpire reserves the right to refuse, decline, or redirect to qualified human professionals any request that is directly unlawful or that seeks high-harm output, consistent with Section 6.
5.9 AI Transparency (EU AI Act, Article 50). This Section reflects the transparency obligations of Article 50 of Regulation (EU) 2024/1689 (the EU AI Act), which apply from 2 August 2026, and the European Commission's Code of Practice on the marking of AI-generated content (published 10 June 2026). For these purposes ewpire acts as the provider of the AI systems underlying the Service and the User acts as a deployer; both roles carry transparency duties. (a) Interaction with AI (Art. 50(1)). The Ideation follow-up chat and the Products' interactive features are AI systems, not human agents. You are interacting with AI, not with a human, and any persona, name, or conversational style does not denote a natural person. (b) AI-generated Outputs (Art. 50(2)). All Outputs – including Ideation reports and estimates, Validation-generated code and applications, and Traffic-generated content and structured-data assets – are artificially generated. Where it is technically feasible, ewpire identifies such Outputs as AI-generated and marks them in a machine-readable format (for example, through metadata or embedded markers) so that they are detectable as artificially generated, in line with Art. 50(2) and the applicable Code of Practice. (c) Your editorial and disclosure responsibility (Art. 50(4)). As deployer, you hold editorial responsibility for any Output you publish, distribute, or deploy. Where you publish AI-generated images, audio, or video constituting a deepfake, or AI-generated text published to inform the public on matters of public interest, you must disclose that the content is artificially generated or manipulated in the manner required by Art. 50(4) and the Code of Practice. 6. Acceptable Use
You agree not to use the Service to:
- Engage in any illegal activity or facilitate the violation of any applicable law or regulation;
- Engage in harassment, threats, defamation, discrimination, or any form of abusive content;
- Distribute malware, phishing content, or fraudulent material, including via any User Site;
- Infringe upon the intellectual property rights of any third party, including by submitting brand, site, or idea content you are not authorised to submit, or by deploying generated code that infringes third-party rights;
- Collect or process personal data in violation of the GDPR or other applicable data protection laws, including in any User Site you build or deploy;
- Use the Service to develop, train, or improve a competing AI product or service, or to reverse-engineer, decompile, or extract ewpire's orchestration logic, consensus methodology, prompts, or model-routing;
- Attempt to gain unauthorised access to ewpire's systems, other users' data, the Sandboxed Runtime, or any related networks;
- Use the Service in a manner that could damage, disable, overburden, or impair ewpire's infrastructure or that of its sub-processors, or exceed applicable rate limits, or use the Sandboxed Runtime to mine cryptocurrency, run unrelated workloads, or conduct attacks;
- Misrepresent your identity or affiliation, or impersonate any person or entity;
- Share, resell, or sublicense your account or Credits to any third party without ewpire's prior written consent; or
- Attempt to circumvent safety measures, extract system prompts, or cause the Products to produce harmful, illegal, or policy-violating content.
Rate Limits. The Service is subject to fair-use rate limits. Excessive or abusive usage patterns may result in temporary throttling or suspension. Specific limits may vary and are communicated in product.
Violation of this Acceptable Use policy may result in suspension or termination of your account in accordance with Section 13.2 (including, for curable breaches, prior notice and an opportunity to cure). On termination for such a violation, ewpire may forfeit only the unconsumed Subscription Credits remaining in your then-current billing cycle, proportionately, as set out in Section 13.3; already-consumed Credits are not forfeited, and mandatory statutory rights are preserved.
7. Intellectual Property
7.1 ewpire's IP. All technology, software, orchestration logic, consensus and routing methodologies, prompts, workflows, model-roster design, user interface designs, trademarks, logos, and other intellectual property comprising or underlying the Service are and remain the exclusive property of LeMans Labs OÜ or its licensors. The Validation builder incorporates OpenHands, which is open-source software provided under its own licence; nothing here grants you rights in third-party components except under their respective licences. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as permitted herein.
7.2 User's IP. You retain all ownership rights in your Account Data, idea text, brand materials, and any pre-existing intellectual property you provide to the Service. We claim no ownership over your business data or ideas.
7.3 Outputs. Subject to your ownership of inputs incorporated into Outputs, and subject to the rights of any third-party component or model provider, you are granted a non-exclusive, worldwide licence to use Outputs (including generated reports, audits, MVP code, and User Sites) produced for your account for your legitimate business purposes. ewpire does not claim ownership of Outputs generated specifically for your account. ewpire makes reasonable efforts to surface known third-party components incorporated into an Output and their applicable licences, but does not warrant that such disclosure is complete; you remain responsible for ensuring your use and deployment of any Output complies with applicable law and any third-party licences, including those of components you deploy.
7.4 Blog Content. All articles, guides, and editorial content published on the ewpire blog are the copyrighted property of LeMans Labs OÜ. You may share links to blog posts but may not reproduce, republish, or redistribute blog content without our prior written consent.
7.5 Feedback. If you provide suggestions, ideas, or feedback regarding the Service, you grant ewpire a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose, including improving the Service, without obligation or compensation to you.
8. Data and Privacy
Our collection, use, and protection of personal data are governed by our Privacy Policy and Data Processing Agreement, which form an integral part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
8.1 Persistent storage on EEA infrastructure. Persistent personal data and Account Data are stored on infrastructure located in the European Economic Area (Cloudflare EU and Hetzner, Germany). ewpire's own consensus engine and Python worker run on a Hetzner VPS in the EU; User Sites built via Validation are not co-located on that VPS and run on Cloudflare.
8.2 Multi-provider inference and no-training commitment. To deliver the Products, your idea text, interview answers, brand and site content, and (for Validation) generated code are transmitted to multiple leading commercially-available large-language-model providers for inference (see Section 9). ewpire does not use your Account Data to train, fine-tune, or improve foundation-model weights, and contracts with its model providers on terms that exclude use of your data for provider training, except where you separately and explicitly opt in under a distinct agreement. Inference providers process your data transiently to return a result and do not persistently store it for their own purposes under the applicable processing terms.
8.3 International transfers. Certain inference and infrastructure sub-processors are located outside the EEA (in the United States, China, and Singapore). Such transfers are made under the European Commission's Standard Contractual Clauses (SCC) Module 2 (controller-to-processor, or processor-to-processor as applicable) together with a transfer-impact assessment and supplementary safeguards. Providers established in China (DeepSeek and Zhipu/GLM) are subject to a heightened transfer-impact assessment given the legal environment of that jurisdiction; they are disabled by default, and ewpire's default posture is that no directly-identifying personal data is routed to China-based providers (data is excluded, pseudonymised, or routed to an alternative provider such that no directly-identifying personal data leaves the EEA for these providers). Details and current safeguards are described in the Privacy Policy and DPA sub-processor annex.

9. Sub-Processors and Third-Party Providers
The Service relies on the following categories of sub-processors, disclosed in full (with locations and roles) in the Privacy Policy and the DPA sub-processor annex. These are direct sub-processors engaged by ewpire (ewpire sells its own inference with margin; there is no BYOK at launch):
- Consensus LLM inference providers: Anthropic (US), OpenAI (US), Google (US), DeepSeek (CN), Alibaba Cloud / Qwen (SG), Mistral AI (FR), Zhipu / GLM (CN), and OpenRouter (US, universal fallback). Your inputs are shared with these providers as needed to run the consensus engine.
- Sandboxed build runtime: Daytona, providing the isolated environment in which Validation builds and previews run.
- Hosting, CDN, and edge: Cloudflare (Pages/Workers for User-Site hosting, plus CDN and edge services), and ewpire's own engine/worker on a Hetzner VPS (EU).
- Billing and payouts: Stripe Payments Europe Limited and/or other Stripe entities as applicable (billing, and Stripe Connect for Referral payouts).
- Transactional email: Resend.
ewpire may add, remove, or replace sub-processors with notice as provided in the DPA, subject to the User's objection right set out in the DPA. Where the User is a consumer, a material adverse change to the sub-processor arrangements does not bind the User without affirmative acceptance, and the User may terminate before the change takes effect; such a change has no retroactive effect on Credits already purchased. For non-consumer Users, continued use after such notice constitutes acceptance, subject to the DPA objection right.
10. Free Tools
ewpire may offer free tools on its website for informational and illustrative purposes only. These tools are provided "as is" and "as available". ewpire makes no guarantee of the accuracy, completeness, or reliability of their outputs, which are estimates and should not be relied upon as the sole basis for business decisions. Use of free tools does not require a Subscription and does not create a contractual relationship beyond these Terms.
11. Limitation of Liability
11.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EWPIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES AND CREDIT PURCHASES PAID BY YOU TO EWPIRE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.2 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EWPIRE SHALL NOT BE LIABLE FOR ANY: (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (b) LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, OR GOODWILL; (c) LOSS OR CORRUPTION OF DATA; (d) COST OF PROCUREMENT OF SUBSTITUTE SERVICES; (e) DAMAGES ARISING FROM OR RELATED TO YOUR RELIANCE ON ANY OUTPUT, ESTIMATE, REPORT, AUDIT, OR GENERATED CODE; OR (f) DAMAGES ARISING FROM THE OPERATION, SECURITY, OR LAWFULNESS OF ANY USER SITE YOU DEPLOY, REGARDLESS OF WHETHER EWPIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EWPIRE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.4 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
This Section 12 applies to Users acting in a business or professional capacity. It does not apply to a consumer to the extent mandatory consumer-protection law prohibits or limits such an indemnity; a consumer remains liable only as mandatory law provides.
If you are a business User, you agree to indemnify, defend, and hold harmless LeMans Labs OÜ, its officers, directors, employees, agents, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) to the extent they arise out of your own wrongful act, omission, or breach, namely:
- Your use of the Service in breach of these Terms or applicable law, including any Output, report, code, or User Site you distribute, publish, deploy, or act upon in breach of these Terms or applicable law;
- Your violation of these Terms or any applicable law or regulation;
- Your violation of data protection laws (including the GDPR) in connection with your use of the Service or your operation of a User Site;
- Your violation of the EU AI Act (Regulation (EU) 2024/1689) or similar AI regulation arising from your use or deployment of Outputs;
- Any third-party claim that your Account Data, submitted brand/idea content, or a User Site infringes or violates the rights of a third party; or
- Your negligence or wilful misconduct.
This indemnity does not extend to losses caused by ewpire's own act, omission, or breach. This indemnification obligation survives the termination of these Terms and your use of the Service.
13. Termination
13.1 Termination by User. You may cancel your Subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period.
13.2 Termination by ewpire. We may suspend or terminate your access to the Service, in whole or in part, if: (a) you breach any material provision of these Terms; (b) you engage in activity that poses a security risk or may cause harm to ewpire, its sub-processors, other users, or third parties; (c) your account is subject to a legal or regulatory complaint; (d) we are required to do so by law; or (e) your payment method repeatedly fails and you do not resolve the outstanding balance within a reasonable period. For a breach that is capable of being cured, we will give you written notice describing the breach and a reasonable period (no less than 14 days, save where a shorter period is required to address an imminent security, legal, or safety risk) to cure it before terminating; we will terminate for an uncured curable breach only if it is not cured within that period. We may suspend or terminate immediately and without prior notice where the breach is incurable, where it poses an imminent security, legal, or safety risk under (b)–(d), or where required by law.
13.3 Refund and Forfeiture on Termination. If ewpire terminates your account for reasons other than your breach of these Terms, we will refund the prorated unused portion of your current Subscription billing cycle and the value of any unexpired, unconsumed Pack Credits, as set out in the Refund Policy. If termination results from your breach, ewpire may forfeit only the unconsumed Subscription Credits remaining in your then-current billing cycle, on a proportionate basis. Credits that have already been consumed to deliver an Output or build are not affected (the service for those Credits has been performed), and forfeiture does not extend to already-consumed Credits. Any mandatory statutory refund rights, and any refund of unexpired, unconsumed Pack Credits required by mandatory law, are preserved.
13.4 Effect of Termination. Upon termination: (a) your right to use the Service ceases immediately or at the end of the paid period, as applicable; (b) ewpire will delete your Account Data from live systems within thirty (30) days of termination and will certify that live deletion within that period on request; residual copies in encrypted backups are not restored (except for disaster recovery) and are overwritten on a rolling backup cycle of at most ninety (90) days, after which they are no longer recoverable; deletion is subject to data ewpire must retain by law (including the 7-year accounting and referral/financial-record retention in Section 18.5); (c) any User Site hosting may be discontinued unless separately arranged, and you are responsible for exporting your generated code beforehand; and (d) provisions that by their nature should survive termination (including Sections 5, 7, 8, 11, 12, 14, 15, and 17) will continue in effect.
14. Changes to Terms
We may revise these Terms from time to time. When we make material changes, we will provide at least 30 days' prior notice via the email address associated with your account and by posting the updated Terms on this page with a revised effective date.
Where you are a consumer, a material adverse change to these Terms does not bind you unless you affirmatively accept it; you retain the right to terminate before the change takes effect, and the change has no retroactive effect on Credits you have already purchased (which keep the terms in force at the time of purchase for their validity period). For non-consumer Users, continued use of the Service after the revised Terms take effect constitutes acceptance. If you do not agree to the revised Terms, you may cancel your Subscription and stop using the Service before the changes take effect, and the prior Terms continue to govern Credits already purchased.
15. Governing Law and Dispute Resolution
15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Mandatory provisions of European Union law shall apply where applicable.
15.2 Amicable Resolution. Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days following written notice of the dispute sent to the other party.
15.3 Jurisdiction. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the Harju County Court (Harju Maakohus), Tallinn, Estonia, except where the User is a consumer resident in the European Union or the United Kingdom and mandatory consumer-protection law of the User's country of habitual residence grants the User the right to bring or defend proceedings in the courts of that country – in which case those mandatory rules prevail.
15.4 EU Consumer Rights. If you are a consumer in the European Union, nothing in these Terms affects your mandatory statutory rights under EU consumer protection law. For out-of-court dispute resolution, consumers in the EU/EEA may bring a dispute to a national alternative-dispute-resolution body – for Estonia, the Consumer Disputes Committee (Tarbijavaidluste komisjon, komisjon.ee). The EU Online Dispute Resolution platform was permanently discontinued on 20 July 2025 and is no longer available.
16. General Provisions
16.1 Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Data Processing Agreement, Refund Policy, and Referral Programme Terms, constitute the entire agreement between you and ewpire with respect to the Service and supersede all prior or contemporaneous agreements, representations, and understandings, including the prior (marketplace-era) terms of service.
16.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
16.3 Waiver. The failure of ewpire to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without ewpire's prior written consent. ewpire may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets.
16.5 Force Majeure. ewpire shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, cyberattacks, third-party service or LLM-provider outages, power or internet failures, or changes in applicable law.
16.6 Notices. All notices under these Terms shall be in writing and sent to: (a) for ewpire, [email protected] (legal notices), or [email protected] for general matters; (b) for you, the email address associated with your account.
16.7 Language. These Terms are drafted in English. In the event of any translation, the English version shall prevail.
17. Referral Programme
17.1 Eligibility. Any eligible person may participate in the Referral Programme, subject to the Referral Programme Terms at ewpire.com/referral-terms. Referral earning requires an active ewpire Subscription and is activated when you connect Stripe Connect; if your Subscription lapses you stop earning new commissions, and commissions already earned are unaffected.
17.2 Commission. When a person you refer makes their first deposit (defined as the referred User's first paid Credit purchase or first subscription payment) using your unique referral link, you earn a one-time commission equal to 20% of that first deposit (excluding VAT). Only the first deposit qualifies; subsequent payments by the referred User do not generate further commission.
17.3 Attribution. Referral attribution is based on a 30-day click window recorded via a persistent first-party referral cookie, which is consent-gated and set only where the User has accepted the relevant cookie. Attribution requires that the first deposit occur within the attribution window.
17.4 Payout Conditions. The earned commission is held for about 30 days (until the refund/cancellation and chargeback window has cleared) following the qualifying first deposit and is then paid via Stripe Connect Express. You must hold a valid Stripe Connect Express account to receive payouts. There is no minimum payout threshold; each cleared commission is paid out automatically. The commission is subject to clawback if the referred User obtains a refund of, or cancels and is refunded for, the qualifying first deposit before payout, or initiates a chargeback; in such cases the commission is reduced or reversed accordingly.
17.5 Restrictions. Self-referrals are prohibited. Referral links may not be promoted through spam, misleading advertising, or any method that violates these Terms or applicable law. ewpire reserves the right to disqualify referrals and withhold or reverse commissions in cases of fraud or abuse.
17.6 Disclosure Obligations. Referrers must clearly and conspicuously disclose their financial relationship with ewpire wherever they promote a referral link, in accordance with all applicable advertising-disclosure rules, including the US FTC Endorsement Guides (16 CFR Part 255), the EU Unfair Commercial Practices Directive (2005/29/EC) as amended, the UK Consumer Protection from Unfair Trading Regulations and CMA guidance, and the platform-transparency obligations of the EU Digital Services Act (Regulation (EU) 2022/2065). Hidden advertising, fake testimonials, and undisclosed endorsements are prohibited.
17.7 Programme Changes. ewpire may modify or discontinue the Referral Programme at any time with 30 days' notice. Commissions earned before a change remain valid and will be paid out according to the terms in effect at the time the qualifying first deposit was made.
17.8 Referral Programme – Tax Responsibility. Referral commissions constitute taxable income. Each Referrer is solely responsible for declaring, withholding where applicable, and remitting any income tax, VAT, goods-and-services tax, sales tax, self-employment tax, social-security contribution, or other tax on commissions received under the Referral Programme, in accordance with the laws of the Referrer's country of tax residence, and for determining the correct place of supply for VAT purposes. LeMans Labs OÜ (registry 16872044) does not withhold taxes on commissions and does not provide tax advice. As part of Stripe Connect onboarding, Stripe may require the Referrer to complete tax documentation (such as IRS Form W-9 for US persons or Form W-8BEN for non-US persons). ewpire does not consider the Referral Programme to fall within the reporting scope of Council Directive (EU) 2021/514 (DAC7), because referral and advertising promotion is not a "Relevant Activity" under that Directive and ewpire is not the platform on which any reportable activity is carried out; ewpire therefore does not assume a DAC7 reporting role for referral commissions. If, however, ewpire is at any time required by mandatory law or a binding determination of a competent tax authority to collect, verify, or report the Referrer's identifying or income data under DAC7 or an equivalent regime, the Referrer agrees to provide the information reasonably required. The Referrer warrants that it has consulted its local tax advisor before accepting commissions. ewpire disclaims all liability for the Referrer's tax compliance or non-compliance.
18. Data Processing, Memory, Training, and Isolation
18.1 Roles and DPA. For Personal Data submitted through the Service, the User is controller and ewpire is processor under Article 4 GDPR. The relationship is governed by the Data Processing Agreement at ewpire.com/dpa.
18.2 Purpose limitation and no training. ewpire processes Account Data solely to deliver the Service and for no other purpose without the User's specific written instruction. ewpire does not use Account Data to train, fine-tune, or improve foundation-model weights, and engages its LLM and infrastructure sub-processors on terms that exclude such training, except under a separately-signed research-participation agreement.
18.3 Isolation. Account Data, projects, and Sandboxed Runtime instances are isolated per account. No cross-account sharing of inputs, embeddings, prompts, or Outputs occurs.
18.4 Portability and erasure. The User may export reports, configurations, and generated code in a structured, machine-readable format (Article 20 GDPR). The right to erasure (Article 17) is honoured by deleting the data from live systems within thirty (30) days of a verified request, subject to legal-hold; ewpire certifies live deletion within that period on request. Residual copies in encrypted backups are not restored (except for disaster recovery) and are overwritten on a rolling backup cycle of at most ninety (90) days.
18.5 Retention after cancellation. Absent a written erasure request, Account Data (other than records ewpire must retain by law) is retained for thirty (30) days after cancellation – during which the User may export or reinstate – then deleted from live systems; residual copies in encrypted backups are not restored (except for disaster recovery) and are overwritten on a rolling backup cycle of at most ninety (90) days. ewpire certifies live deletion within the thirty (30) day period on request. The following are retained notwithstanding the foregoing: (a) billing, invoicing, and VAT records, and referral/financial records, for seven (7) years as required by the Estonian Accounting Act (Raamatupidamise seadus) and Article 6(1)(c) GDPR; and (b) consent artefacts for three (3) years under Section 4.12.
18.6 Client registration with supervisory authorities. Where the User's own collection, holding, or use of personal data (including via a deployed User Site) requires the User to register with, or notify, a data-protection supervisory authority – for example, registration with the UK Information Commissioner's Office (ICO), notification to the Polish UODO, registration with the Bulgarian CPDP, or equivalent duties in any other jurisdiction – the User is solely responsible for such registration, for paying any associated fee, and for keeping the registration current. ewpire operates as processor for the User's Account Data in a controller–processor relationship in which the User is the controller; ewpire does not file, maintain, or advise on the User's own controller-side registrations.
