Referral Programme Terms

The short version (full terms below)

  • You earn 20% of your referral's first deposit (their first paid credit purchase or first subscription payment) – a single, one-time commission, not a recurring percentage of every charge.
  • You earn while your own ewpire subscription is active. Referral earning is a subscriber benefit; you activate it by connecting Stripe Connect once. If your subscription lapses you stop earning new commissions, but anything you have already earned is unaffected.
  • The commission is held for about 30 days (until the refund window has closed), then paid via Stripe Connect Express.
  • If the referred user refunds or cancels before payout, the commission is voided (clawback). A 180-day clawback window applies to chargebacks and disputes.
  • You handle your own taxes wherever you live; we send you the gross amount via Stripe Connect.
  • No payout minimum. Referrals are tracked for 30 days after click via a consent-gated first-party referral cookie; last click wins.

Relationship to Terms of Service

These Referral Programme Terms supplement and form part of the ewpire Terms of Service available at ewpire.com/terms. In the event of conflict between these terms and the Terms of Service regarding the Referral Programme, these Referral Programme Terms shall prevail.

1. Overview

The ewpire Referral Programme ("Programme") allows eligible participants ("Referrers") to earn a commission by referring new paying customers ("Referred Customers") to ewpire, operated by LeMans Labs OÜ ("ewpire", "we", "us"). ewpire is a full-cycle founder platform – "from idea to empire" – comprising three products on one shared engine ("best model per task plus consensus verification"): Ideation (a consensus of frontier LLMs that analyses a startup idea and returns a structured report with a confidence score and dissent map), Validation (turning a saved idea into a working MVP via a white-label open-source builder, our model routing, and consensus-as-QA, with a sandboxed build runtime and deployment to Cloudflare), and Traffic (generating AEO/GEO presence and a consensus brand-truth audit). By joining the Programme, you agree to these terms in full.

2. Eligibility

  • You must be 18 years of age or older.
  • You must have an active ewpire subscription to earn. Referral earning is a benefit of an active subscription and activates when you connect Stripe Connect; if your subscription lapses you stop earning new commissions, and commissions already earned are unaffected.
  • You must complete Stripe Connect identity verification.
  • Stripe Connect onboarding enforces applicable sanctions screening. ewpire may additionally restrict participation from specific jurisdictions at its discretion.
  • Employees and contractors of LeMans Labs OÜ are not eligible.
  • Self-referral (referring yourself or entities you control) is strictly prohibited and will result in permanent disqualification and forfeiture of any pending commissions.
  • You represent and warrant that you are participating in the Programme in a professional or business capacity (as a content creator, publisher, marketer, or similar) and not as a consumer within the meaning of Directive 2011/83/EU Art. 2(1). You acknowledge that consumer-specific protections, including the 14-day withdrawal right under distance-contract rules, do not apply to this Programme agreement.
  • Consumer fallback (savings clause). If, notwithstanding the warranty above, you are in fact a consumer within the meaning of Directive 2011/83/EU and Estonian law (Võlaõigusseadus / Tarbijakaitseseadus), the mandatory consumer-protection rights applicable to you – including any applicable right of withdrawal – apply notwithstanding any contrary term of these Terms, and nothing in these Terms operates to waive or limit those mandatory rights. In that event, by requesting that the Programme begin and by accepting your first commission, you confirm that you expressly request performance of the Programme to begin, and you acknowledge the consequences this may have for any withdrawal right where performance has been fully or partly carried out.

3. How it works

When you join, you receive a unique referral link. When someone clicks your link and subsequently makes their first deposit with ewpire – defined as their first paid credit purchase (a credit pack) or their first subscription payment (a plan) – you earn a one-time commission on that first deposit.

Attribution is tracked via a first-party referral cookie with a 30-day window, set with the prospective customer's consent at the point of cookie consent. When a prospective customer visits ewpire.com through your referral link, the referral code is stored in the consent-gated first-party cookie and, upon account creation, server-side against the resulting account. Last click wins: if a prospective customer arrives through multiple referral links within the window, the most recent referral code is the one credited.

ewpire does not offer "bring your own key" (BYOK) at launch; all credits are denominated against ewpire's own metered usage. Commissions are calculated on the cash value of the first deposit, not on credit balances.

4. Commission structure and Stripe fees

  • Commission rate: 20% of the Referred Customer's first deposit, net of VAT and other taxes – their first paid credit purchase or their first subscription payment, whichever occurs first. One first deposit per Referred Customer triggers one commission. VAT and other taxes are excluded from the commission base (they are remitted to the tax authorities and are not ewpire revenue).
  • Subscription plans (first subscription payment; annual plans grant two months free, so the annual price equals ten monthly instalments):
    • Starter $30/mo → $6.00 · Starter annual $300/yr → $60.00
    • Pro $60/mo → $12.00 · Pro annual $600/yr → $120.00
    • Business $150/mo → $30.00 · Business annual $1,500/yr → $300.00
  • Credit packs (first paid credit purchase; 90-day validity):
    • $30 pack (250 credits) → $6.00
    • $90 pack (750 credits) → $18.00
    • $230 pack (2,000 credits) → $46.00
  • Commission is earned on the first deposit only. There are no recurring commissions on subsequent charges, renewals, top-ups, or additional pack purchases.
  • There is no minimum payout threshold: each cleared commission is paid out automatically.
  • Commissions are denominated in USD, the economic base of ewpire pricing. Customers are charged at checkout in the currency Stripe determines for their location, plus VAT; ewpire is settled by Stripe in USD.
  • Commission base and currency fluctuation. The commission base is the net (pre-VAT) amount of the Referred Customer's first deposit, converted to its USD equivalent at Stripe's published exchange rate at the moment of that customer's successful charge. VAT and other taxes are excluded. You bear any currency fluctuation between the moment of charge and the moment of payout; no subsequent FX adjustment applies between charge and payout.

Stripe fees and net payout. ewpire transfers the gross commission (20% of the first deposit) to your Stripe Connect Express account. Any fees deducted by Stripe between your Connect balance and your bank account are borne entirely by you and are not reimbursed by ewpire. These may include:

  • Currency conversion fee (approximately 1%) plus Stripe's FX spread, if your bank account currency differs from USD;
  • Cross-border payout fee (0.25–1%) for payouts to certain non-US / non-EU / non-UK jurisdictions;
  • Instant payout fee (approximately 1.5%), if you opt into instant payouts instead of the default free standard payouts;
  • Any other Stripe fees as published at stripe.com/connect/pricing at the time of your payout.

Standard payouts to US, UK, and EU bank accounts incur no additional Stripe fees in most cases. Your Stripe Connect Express dashboard shows the exact deduction applied to each payout.

5. Payout timing and schedule

5.1 One-time commission, held about 30 days. For each Referred Customer, the 20% commission on their first deposit becomes a held (pending) balance at the moment of the first successful charge. Each held commission is released about 30 days later, once the refund/cancellation and chargeback exposure described below has cleared, and is then paid via Stripe Connect Express. There is one commission per Referred Customer, on their first deposit only.

5.2 Payout mechanism. Released commissions are paid via Stripe Connect Express transfers. Payouts require your Stripe account to be in good standing with transfers enabled. There is no minimum payout threshold; each cleared commission is paid out automatically.

5.3 Worked examples.

  • A Referred Customer's first deposit is a Pro monthly subscription at $60 → commission $12.00, held about 30 days, then paid via Stripe Connect Express.
  • A Referred Customer's first deposit is a $230 credit pack (2,000 credits) → commission $46.00, held about 30 days.
  • A Referred Customer's first deposit is a Business annual subscription at $1,500/yr → commission $300.00, held about 30 days.

6. Refunds and claw-backs

6.1 Refund or cancellation before payout. If a Referred Customer refunds or cancels the charge constituting their first deposit at any time before the commission has been paid out, the held commission for that referral is voided in full and no payout occurs. This covers refunds under ewpire's money-back terms and any cancellation that reverses or unwinds the first deposit prior to release.

6.2 Subscription cancellation. Because the commission is a one-time amount earned on the first deposit only, a Referred Customer's later cancellation or non-renewal of a subscription after the commission has been paid out does not create a negative balance for you and does not trigger a clawback, except where the underlying first-deposit charge is itself refunded, charged back, or disputed.

6.3 Chargebacks and disputes. In the event of a chargeback, payment dispute, or partial refund on a Referred Customer's first-deposit charge, we reserve the right to void or proportionally reduce the associated commission. Claw-back recovery from future commissions is limited to one hundred and eighty (180) days from the original commission date. Beyond 180 days, unclaimed claw-backs are written off and not enforceable.

7. Taxes

7.1 Governing law of the Programme. The Programme is operated by LeMans Labs OÜ under Estonian law (LeMans Labs OÜ, Estonian registry code 16872044, registered office Valukoja 8/1, 11415 Tallinn, Estonia). Your own tax compliance in respect of commissions received under the Programme is governed by the laws of your jurisdiction of residence, domicile, or establishment.

7.2 Referrer responsibility. You are solely responsible for declaring, withholding where applicable, and remitting any tax on commissions received from ewpire, including in particular: (a) income tax, corporate income tax, or any equivalent tax on business income; (b) value-added tax, goods-and-services tax, sales tax, or any equivalent consumption tax; (c) social-security contributions or equivalent self-employment levies; (d) digital-services tax, withholding tax on cross-border services, or any equivalent tax; in each case in accordance with the laws and administrative practice of your jurisdiction of residence, domicile, or establishment and of any other jurisdiction to which you may be subject.

7.3 No withholding by ewpire. ewpire pays commissions gross and does not withhold tax on your commissions except where mandatory law compels ewpire to do so. Where mandatory withholding applies in a specific jurisdiction, ewpire will effect the withholding and issue the supporting documentation the applicable authority requires.

7.4 Informational reporting. Stripe may require you to complete tax documentation (IRS Form W-9 for US persons, or Form W-8BEN for non-US persons) as part of Stripe Connect Express onboarding. ewpire does not consider the Programme to fall within the reporting scope of Directive (EU) 2021/514 (DAC7), because referral promotion is not a "Relevant Activity" under that Directive and ewpire is not the platform on which any reportable activity is carried out. If, however, ewpire is at any time required by mandatory law or by a binding determination of a competent tax authority to collect, verify, or report your identifying or income data under DAC7 or any successor or equivalent regime, you agree to provide the information reasonably required, and acknowledge that ewpire may withhold payouts or exclude you from the Programme if you do not.

7.5 VAT / place of supply. For VAT purposes, the place of supply of your promotional services is your country of establishment (VAT Directive 2006/112/EC Art. 44 for B2B; Art. 45 for B2C). If you are a VAT-registered business in the EU, you are responsible for issuing a reverse-charge invoice to LeMans Labs OÜ and self-accounting VAT in your Member State. If you are outside the EU, or are a non-VAT-registered individual in the EU, no Estonian VAT applies to commission payments; your own country-of-establishment rules apply.

7.6 Referrer warranty. You warrant that, before accepting any commission under the Programme, you have obtained, or will promptly obtain, advice from a tax advisor qualified in your jurisdiction on the tax treatment of the commissions and on your compliance duties, and that you will keep such advice current.

7.7 No tax advice by ewpire. LeMans Labs OÜ does not provide tax advice. Nothing on the Programme pages, in the Terms, or in any ewpire communication constitutes tax advice in any jurisdiction. ewpire disclaims all liability for your tax compliance or non-compliance in any jurisdiction to the maximum extent permitted by law, save that nothing in this clause limits liability for intent or gross negligence (Võlaõigusseadus § 106 lg 2).

8. Right to audit

ewpire reserves the right to audit referral activity and withhold commissions pending investigation of suspected Programme abuse. Investigations will be concluded within thirty (30) days, and withheld commissions will be released or forfeited based on findings. Referrer agrees to cooperate. Failure to respond within fourteen (14) days does not by itself forfeit any commission; it permits ewpire to continue withholding the specific commissions under investigation until the matter is resolved. Forfeiture occurs only (a) where Programme abuse is established on the findings, or (b) where you fail to respond within thirty (30) days despite a reminder sent to your account email.

9. Prohibited conduct

  • Spam, unsolicited email, or any communication that violates applicable law.
  • Misrepresenting ewpire or making false claims about the product or commissions. In particular, you must not describe ewpire's outputs as "advice" or guarantees: Ideation and Traffic provide structured deliberation and an estimate, not advice, and Traffic increases the probability of an accurate, consistent description by AI systems and is never "guaranteed visibility".
  • Cookie stuffing, ad injections, or any technical means to artificially generate clicks.
  • Self-referral or referral of entities under your control.
  • Any fraudulent or deceptive practice.
  • Using paid advertising that bids on ewpire brand terms (such as "ewpire" or "ewpire.com") without prior written approval.
  • Promoting your referral link on content that is adult, gambling, political, hate-speech, or otherwise illegal in the jurisdiction where the content is published.

Violation of prohibited conduct results in immediate termination and forfeiture of all pending commissions.

10. Anti-spam responsibility

You are solely responsible for compliance with all applicable anti-spam and electronic messaging laws (including CAN-SPAM, CASL, GDPR, and equivalent local laws) when promoting your referral link. Sending unsolicited bulk email using your referral link is prohibited and may result in immediate termination.

10b. Mandatory advertising disclosure

You must clearly and conspicuously disclose your material connection to ewpire in every public communication that promotes your referral link. Acceptable labels include "#ad", "#affiliate", "paid partnership", or a platform-native disclosure tool (e.g., Instagram "Paid partnership", TikTok "Sponsored"). The label must appear at the start of the post or caption – not buried in hashtags, footnotes, or expandable text. The disclosure duty is tied to the existence of an active material connection: it applies for as long as you have a live material connection to ewpire and to any live post or content that carries an active referral link. Once the referral relationship ends, you have no forward-looking duty to add this disclosure to new content you create thereafter, but any of your earlier content that remains public and still carries an active referral link must continue to carry the disclosure for as long as that link remains active.

Where you promote your referral link using AI-generated or AI-manipulated content – including a "deepfake" image, audio, or video, or AI-generated text published on a matter of public interest – you must additionally disclose that the content is artificially generated or manipulated, in the manner required by the EU AI Act (Reg. (EU) 2024/1689) Art. 50, in particular Art. 50(4), and the associated Code of Practice, with effect from 2 August 2026. This AI-content disclosure is separate from, and in addition to, the material-connection disclosure above.

You are solely responsible for compliance with the FTC Endorsement Guides (16 CFR Part 255), the EU Unfair Commercial Practices Directive (2005/29/EC) as implemented locally, the UK CAP Code (r. 2.1, 2.4), the Digital Services Act (Reg. (EU) 2022/2065), and, from 2 August 2026, the transparency obligations of the EU AI Act (Reg. (EU) 2024/1689) Art. 50. Failure to disclose is grounds for immediate termination and forfeiture of pending commissions.

11. Trademark licence

ewpire grants you a limited, non-exclusive, revocable licence to use the ewpire name and logo solely for the purpose of promoting your referral link. You may not modify the ewpire logo, use it in a misleading context, or imply endorsement or partnership beyond your referral relationship. ewpire reserves the right to review promotional materials on request.

12. Independent contractor

You are an independent contractor. Nothing in these terms creates an employment, agency, partnership, or joint venture relationship between you and LeMans Labs OÜ. You are not authorised to make commitments or representations on behalf of ewpire.

13. Programme modifications and termination

ewpire reserves the right to modify, suspend, or terminate the Programme at any time with 30 days' notice to active Referrers. Material changes will be notified by email in accordance with GDPR transparency requirements. Commissions earned before termination will be honoured subject to these terms.

Upon programme termination, all earned commissions will be paid out within sixty (60) days.

ewpire may terminate an individual Referrer's participation at any time for cause (violation of these terms) with immediate effect, or without cause with thirty (30) days' notice. Earned commissions not subject to forfeiture under these terms will be paid out.

14. Indemnification

You agree to indemnify and hold harmless LeMans Labs OÜ from any claims, damages, or expenses arising from your promotional activities, including but not limited to claims of spam, misleading advertising, or intellectual property infringement. This indemnification applies only to the extent you are participating in the Programme in a business or professional capacity as warranted under Section 2.

15. Limitation of liability

ewpire's total liability to you under these terms shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim. Nothing in these terms excludes or limits either party's liability for intent, gross negligence, death, personal injury, or any other liability which cannot be lawfully excluded (Võlaõigusseadus § 106 lg 2).

16. Governing law

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Tallinn, Estonia. Nothing in this clause limits the rights of consumers under mandatory provisions of the law of their country of habitual residence.

18. Data protection

LeMans Labs OÜ (Valukoja 8/1, 11415 Tallinn, Estonia) is the data controller for your Programme account data (name, email, referral activity). Stripe Payments Europe Limited and/or other Stripe entities as applicable act as a separate independent controller for your identity verification, bank, and payout data, governed by Stripe's own privacy policy. Legal basis for processing your account data is the performance of this contract (GDPR Art. 6(1)(b)) and our legitimate interest in programme operation and fraud prevention (Art. 6(1)(f)). The first-party referral cookie used for attribution is set on the basis of consent (GDPR Art. 6(1)(a) and the ePrivacy Directive 2002/58/EC as implemented locally), gathered through our cookie-consent banner. We do not currently set analytics cookies; if we introduce one it will load only after you accept the Analytics category, and this document together with our sub-processor list will be updated first.

Retention. We retain your Programme account data for the duration of your participation and then delete or anonymise it, save that referral and financial records required for accounting are retained for 7 years as required by Estonian bookkeeping law (Raamatupidamise seadus § 12). On termination of your Programme account, we delete your personal data from live systems within 30 days (and will certify live-system deletion within that period on request); backups are overwritten on a rolling cycle of at most 90 days, are not restored except for disaster recovery, and are kept encrypted in the interim. The 7-year accounting carve-out above survives this deletion.

Persistent personal data is stored on EEA infrastructure (Cloudflare EU and Hetzner, Germany). Our own consensus engine and Python build worker run on a Hetzner VPS in the EU; user-generated applications produced through Validation are not co-located on that VPS and run on Cloudflare. Programme operation relies on the following sub-processors: Stripe Payments Europe Limited and/or other Stripe entities as applicable (billing and Connect payouts), Cloudflare (hosting, CDN, and edge), and Resend (transactional email).

International transfers. Where personal data is transferred to a recipient outside the EEA, the transfer is made on the basis of an appropriate Chapter-V safeguard: the European Commission's Standard Contractual Clauses, Module 2 (controller-to-processor) for transfers to sub-processors acting on our instructions, and Module 1 (controller-to-controller) for transfers to independent controllers such as Stripe; in each case together with a transfer-impact assessment and supplementary safeguards. Where a US recipient is certified under the EU–US Data Privacy Framework, the transfer may instead rely on the DPF adequacy decision.

You have rights of access, rectification, erasure (subject to retention requirements), restriction, portability, and objection under GDPR Art. 15–22. Requests: [email protected]. Supervisory authority: Estonian Data Protection Inspectorate (AKI).

19. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including payment-rail outages, sanctions escalation, regulatory orders, natural disasters, or any other event that could not reasonably have been anticipated or prevented.

20. Severability

If any provision of these terms is held unenforceable or invalid in any jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. The remainder of these terms shall remain in full force and effect.

21. No third-party beneficiaries

These terms do not create rights enforceable by any person other than you and LeMans Labs OÜ. Referred Customers are not third-party beneficiaries of this agreement and have no rights under it.

22. Set-off

LeMans Labs OÜ may set off against any commission payable to you any amount that is liquidated and due from you – namely claw-backs under Section 6 and established overpayments – and may do so without prejudice to any other rights or remedies available. This set-off right does not extend to unadjudicated or disputed damages claims, which ewpire may pursue only through the dispute mechanism in Section 16. Set-off of claw-backs remains subject to the 180-day limit in Section 6.3.

23. Sanctions

You represent that you are not listed on, and are not owned or controlled by any person listed on, any applicable sanctions list (including the OFAC Specially Designated Nationals list, EU Consolidated List, UK OFSI Consolidated List, or UN Security Council Consolidated List), and that you are not ordinarily resident in a jurisdiction subject to comprehensive sanctions. Any breach of this representation terminates these terms immediately and forfeits all pending commissions.

24. Entire agreement

These terms, together with the ewpire Terms of Service, constitute the entire agreement between you and LeMans Labs OÜ with respect to the Referral Programme and supersede all prior communications, understandings, or agreements on the subject matter. No oral modification of these terms is binding.
